END USER LICENSE AGREEMENT (EULA)
Document Builder — Kombinator
Licensor: Perpetuum Software LLC
Effective Date: November 6, 2026
1. General Provisions
1.1. This End User License Agreement ("Agreement") is a legally binding agreement between Perpetuum Software LLC ("Licensor", "we", "us", or "our") and the legal entity or individual acting for business or professional purposes ("Licensee", "Customer", or "you") that installs, accesses, or uses the Document Builder — Kombinator application ("Software" or "Kombinator").
1.2. Document Builder — Kombinator is a document automation application designed to create, customize, and generate business documents using data from Bitrix24.
1.3. By installing or using the Software, or accepting this Agreement through an electronic acceptance mechanism, you agree to be bound by its terms. If you act on behalf of an organization, you represent that you are authorized to enter into this Agreement on its behalf.
1.4. If you do not agree to these terms, you must not install or use the Software.
1.5. This Agreement governs the use of Kombinator. Your use of Bitrix24 is separately governed by the applicable terms and conditions of the Bitrix24 provider.
2. License Grant
2.1. Subject to compliance with this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to access and use Kombinator for its internal business purposes during the applicable license period.
2.2. The license permits the Licensee to:
  • Create, edit, and manage document templates.
  • Automatically generate documents using authorized Bitrix24 data.
  • Use conditional logic, calculations, and data formatting features.
  • Generate documents in supported formats, including DOCX and PDF.
  • Use available Bitrix24 integrations and automation rules.
  • Allow authorized employees to use the Software within the licensed organization.
2.3. Unless otherwise specified in an applicable order or separate written agreement, the license covers one customer organization and its designated Bitrix24 environment.
2.4. The Licensee may not sell, sublicense, distribute, reverse engineer, or otherwise commercially exploit the Software except as expressly permitted by applicable law or authorized in writing by the Licensor.
2.5. The Software is licensed, not sold. All rights not expressly granted remain with the Licensor or the relevant rights holders.
3. Free Trial
3.1. New customers are eligible for a seven (7) day free trial of Kombinator.
3.2. The trial begins when the Software is installed and the trial license is activated.
3.3. During the trial period, the Licensee may evaluate the available functionality without paying a license fee.
3.4. At the end of the trial period, continued use of the Software requires a valid paid license.
3.5. The free trial does not automatically create an obligation to purchase a paid license.
3.6. The Licensor may take reasonable measures to prevent repeated or abusive use of free trial licenses.
4. License Plans and Fees
4.1. Kombinator is available under the following annual license plans:
Cloud Version — EUR 1,000 per year
Designed for organizations using the cloud version of Bitrix24.
On-Premise Version — EUR 3,000 per year
Designed for organizations using an on-premise deployment of Bitrix24.
4.2. Both license plans include:
  • Unlimited authorized users within the licensed organization.
  • Unlimited document templates.
  • Unlimited generated documents.
4.3. Unless otherwise agreed, a paid license is granted for twelve (12) months from its activation date.
4.4. License fees are payable in accordance with the applicable invoice, order confirmation, or payment instructions provided by the Licensor.
4.5. Applicable taxes, withholding obligations, and payment processing fees shall be determined under the relevant laws and the agreed payment terms.
4.6. Prices may be updated for future license periods. Any revised price will be communicated before the Licensee commits to a new paid license period.
4.7. A license does not automatically renew unless the Licensee has expressly agreed to automatic renewal under separate, disclosed terms.
4.8. Except where required by applicable law or expressly agreed in writing, fees for an activated license period are non-refundable.
5. Software Functionality and Third-Party Integration
5.1. Kombinator integrates with Bitrix24 and uses information made available through the permissions granted by the Licensee.
5.2. The Software may access CRM records, company and contact details, products, custom fields, Smart Process Automation items, and other authorized information required for document generation.
5.3. The Licensee controls which data is available to the Software through its Bitrix24 configuration, user permissions, and integration settings.
5.4. The availability of certain features may depend on the Licensee's Bitrix24 subscription plan, deployment type, API availability, and third-party service functionality.
5.5. The Licensor is not responsible for independent changes, restrictions, interruptions, or discontinuation of the Bitrix24 platform or other third-party services.
5.6. The Licensor may provide software updates, improvements, and corrections during the license period. Changes that materially reduce purchased functionality will be handled in accordance with applicable law and this Agreement.
6. Ownership and Intellectual Property
6.1. Kombinator, including its source code, software architecture, interface elements, documentation, and related intellectual property, remains the property of the Licensor or its licensors.
6.2. Nothing in this Agreement transfers ownership of the Software to the Licensee.
6.3. The Licensee retains its rights in the business information, CRM data, document templates, and documents it creates or uploads, to the extent it owns or lawfully controls those rights.
6.4. The Licensee grants the Licensor a limited right to process Customer-provided information solely as necessary to provide, maintain, secure, and support the Software and perform other activities expressly authorized under the applicable agreements.
6.5. The Licensor does not acquire ownership of the Licensee's generated business documents merely because they were created using Kombinator.
6.6. The Licensee is responsible for ensuring that it has the necessary rights to use the content and materials incorporated into its document templates.
7. Data Protection and Confidentiality
7.1. Each party shall comply with the data protection and privacy laws applicable to its activities under this Agreement.
7.2. Where the Licensor processes personal data on behalf of the Licensee, the parties shall establish the necessary data processing arrangements, including a Data Processing Agreement where required by applicable law.
7.3. The Licensee determines the purposes for which CRM information is used in document generation and is responsible for having an appropriate legal basis for the data it provides.
7.4. The Licensor shall implement appropriate technical and organizational security measures proportionate to the relevant processing activities and risks.
7.5. Access to Customer information shall be limited to authorized personnel and service providers who require such access for legitimate operational purposes and are subject to appropriate confidentiality obligations.
7.6. Where applicable law requires safeguards for international transfers of personal data, the parties shall establish an appropriate lawful transfer mechanism before carrying out the relevant transfer.
7.7. Neither party may disclose the other party's confidential information except as permitted by this Agreement, necessary for authorized service provision, or required by law.
7.8. More detailed provisions concerning personal data processing, retention, security, subprocessors, and international transfers shall be governed by the applicable product privacy notice and Data Processing Agreement.

8.6. Kombinator provides document automation functionality and does not independently verify the legal validity, regulatory compliance, or commercial suitability of generated documents.
9. Technical Support and Maintenance
9.1. The Licensor provides technical support for the Software during its published support hours.
9.2. Standard support hours are Monday through Friday, from 10:00 AM to 6:00 PM (UTC+3).
9.3. Support requests may be submitted outside these hours and will be reviewed during the next available support period.
9.4. Support includes reasonable assistance with installation, configuration, troubleshooting, and standard product functionality.
9.5. Custom development, individual template development, consulting, and integration services may be subject to separate agreements or fees.
9.6. Unless expressly agreed in writing, the Licensor does not guarantee a specific response time, resolution time, or uninterrupted availability.
10. Software Availability and Disclaimer of Warranties
10.1. The Licensor will use commercially reasonable efforts to maintain the Software and correct verified defects.
10.2. Except for warranties expressly provided in this Agreement or required by applicable law, the Software is provided on an "as is" and "as available" basis.
10.3. The Licensor does not warrant that the Software will operate without interruption, be entirely free from errors, or satisfy every specific business requirement of the Licensee.
10.4. The Licensor is not responsible for errors resulting from incorrect templates, inaccurate CRM information, unauthorized modifications, or incompatible third-party systems.
10.5. Nothing in this Agreement excludes warranties, remedies, or rights that cannot lawfully be excluded.
11. Limitation of Liability
11.1. To the extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, or consequential damages, including loss of anticipated profits or business opportunities, arising from the use of or inability to use the Software.
11.2. To the extent permitted by applicable law, the Licensor's aggregate contractual liability arising from this Agreement shall not exceed the total license fees paid or payable by the Licensee for the Software during the twelve (12) months preceding the event giving rise to the claim.
11.3. The limitations in this section shall not apply to fraud, willful misconduct, or liability that cannot legally be excluded or limited.
11.4. Nothing in this Agreement limits either party's liability for obligations that mandatory law requires to remain unlimited.
12. Suspension and Termination
12.1. This Agreement becomes effective upon acceptance and continues until terminated in accordance with its terms.
12.2. The Licensee may discontinue use of the Software at any time.
12.3. The Licensor may suspend access when reasonably necessary to address a material security threat, unlawful activity, or material breach of this Agreement.
12.4. Where reasonably practicable, the Licensor shall provide notice and an opportunity to remedy a remediable breach before terminating a paid license.
12.5. Upon expiration of the free trial or paid license, access to paid Software functionality may be restricted until a valid license is activated.
12.6. Upon termination, the Licensee's right to use the Software ends, except for any rights that expressly survive termination.
12.7. The Licensee is responsible for maintaining appropriate copies and backups of its documents and business information. Documents stored in Bitrix24 remain subject to the configuration, availability, and terms of the Bitrix24 environment.
12.8. Customer data held by the Licensor shall be handled following termination in accordance with the applicable data processing terms, retention obligations, and applicable law.
13. Compliance with Applicable Laws
13.1. Each party shall comply with the laws and regulations applicable to its activities under this Agreement.
13.2. The Licensee shall not use, export, re-export, or provide access to the Software in violation of applicable export controls, sanctions, or other mandatory legal restrictions.
13.3. The Licensor may restrict provision of the Software where necessary to comply with applicable legal obligations.
13.4. This Agreement is intended for business and professional use. Nothing in it excludes mandatory rights or protections that apply under the laws of a jurisdiction in which the Software is lawfully provided.
14. Force Majeure
14.1. Neither party shall be responsible for a failure or delay in performing obligations caused by circumstances beyond its reasonable control, including natural disasters, widespread telecommunications failures, war, or government restrictions.
14.2. The affected party shall promptly notify the other party when reasonably possible and take appropriate steps to minimize the impact.
14.3. This section does not excuse payment obligations that became due before the relevant event.

15.1. The Licensor may update this Agreement to reflect changes in the Software, legal requirements, or business practices.
15.2. The latest version will be published on the Licensor's website with an updated effective date.
15.3. Material changes affecting an existing paid license shall be communicated in advance where reasonably practicable.
15.4. Changes that materially reduce the Licensee's contractual rights during a prepaid license period shall not apply to that period without the Licensee's agreement, except where required by applicable law.
15.5. Continued use after a validly notified amendment becomes effective constitutes acceptance to the extent permitted by applicable law.
16. Governing Law and Dispute Resolution
16.1. This Agreement shall be governed by the laws of the Russian Federation, excluding its conflict-of-laws rules, unless the parties expressly agree otherwise in writing.
16.2. The parties shall first attempt to resolve disputes through good-faith negotiations.

17.3. If any provision is found unenforceable, the remaining provisions shall remain effective.
17.4. A party's failure to enforce any provision does not constitute a waiver of its rights.
17.5. The Licensee may not assign this Agreement without the Licensor's prior written consent, except where assignment is permitted by mandatory law or an applicable written agreement.
